1. Agreement to these terms

These Terms of Service (the "Terms") govern your access to and use of the website located at wagnerlivock.com and any related pages, content, and features (together, the "Site"), operated by Wagner, Livock & Associates Financial Services Inc. ("WLA," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree with these Terms, please do not access or use the Site.

2. About us

WLA is an independent Canadian financial services firm based in Kitchener, Ontario, providing group benefits, group savings and retirement, business solutions, and financial planning services to employers, business owners, and organizations. Our contact details appear in Section 20.

3. Use of the Site

We grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Site for your own lawful, personal, and business informational purposes, in accordance with these Terms. You are responsible for any activity that occurs through your use of the Site and for ensuring that your use complies with all applicable laws.

4. No professional advice and no advisory relationship

The content on the Site is provided for general information only. It is not, and should not be relied upon as, financial, insurance, investment, tax, legal, accounting, or other professional advice, and it does not take into account your particular objectives, circumstances, or needs.

Accessing the Site, reading its content, or contacting us through it does not create an advisor, broker, client, fiduciary, or other professional relationship between you and WLA. Any such relationship is established only through a separate, formal engagement, and any advice or recommendation is provided only in that context, after we have gathered the information necessary to give it.

You should not act, or refrain from acting, on the basis of anything on the Site without obtaining advice appropriate to your specific situation from a qualified professional. WLA does not guarantee any particular result and is not responsible for decisions you make in reliance on information on the Site.

5. No offer or solicitation

Nothing on the Site constitutes an offer, solicitation, or recommendation to buy or sell any product or service, or to enter into any transaction, in any jurisdiction where such an offer or solicitation would be unlawful. Our products and services are offered only where WLA and its representatives are appropriately licensed or authorized to provide them, and availability may vary by province and by circumstance.

6. Intellectual property

The Site and all of its content, including text, copy, graphics, images, logos, layout, design, and the selection and arrangement of that content (together, the "Content"), are owned by or licensed to WLA and are protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, republish, distribute, modify, adapt, translate, publicly display, sell, or create derivative works from the Content, in whole or in part, without our prior written permission. You may view and print pages of the Site for your own personal or internal business reference, provided you do not remove any copyright or proprietary notices.

7. Trademarks

"Wagner, Livock & Associates," the WLA name and logo, and other names, marks, and designs used on the Site are trademarks or trade names of WLA or its licensors. Nothing on the Site grants you any right or licence to use them without our prior written consent. Other trademarks appearing on the Site are the property of their respective owners.

8. Acceptable use

You agree not to use the Site in any way that is unlawful, harmful, or that could damage, disable, overburden, or impair the Site or interfere with any other party's use of it. Without limiting the foregoing, you agree not to:

  • use the Site in violation of any applicable law or regulation;

  • attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems or networks;

  • introduce viruses, malware, or other harmful code;

  • use any robot, scraper, or other automated means to access or collect information from the Site without our permission;

  • collect or harvest personal information about other users; or

  • use the Site or its Content for any commercial purpose not expressly permitted by these Terms.

9. Submissions and communications

If you submit information to us through the Site, for example through a contact or enquiry form or a career application, you represent that the information is accurate and that you are entitled to provide it. We handle personal information you submit in accordance with our Privacy Policy.

Please do not send us confidential or sensitive information through the Site or by unencrypted email. Communications sent through the Site are not a secure means of transmitting sensitive information, and sending an enquiry does not, on its own, create any professional relationship or obligation on our part.

10. Third-party links and content

The Site may contain links to third-party websites, tools, or resources that are not owned or controlled by WLA. We provide these links for convenience only. We do not endorse and are not responsible for the content, products, services, or practices of any third party, and your use of any third-party site is at your own risk and subject to that party's terms and policies.

11. Availability of and changes to the Site

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We do not guarantee that the Site will be available, uninterrupted, timely, secure, or error free, and we are not liable if the Site is unavailable at any time or for any period.

12. Disclaimer of warranties

To the fullest extent permitted by law, the Site and its Content are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, or statutory. WLA disclaims all such warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties regarding the accuracy, completeness, reliability, currency, or availability of the Content. We do not warrant that the Site is free of viruses or other harmful components.

13. Limitation of liability

To the fullest extent permitted by law, WLA, together with its directors, officers, employees, representatives, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your access to or use of, or your inability to access or use, the Site or its Content, whether based in contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the extent that liability cannot be excluded, the total aggregate liability of WLA arising out of or relating to the Site is limited to one hundred Canadian dollars (CAD $100). Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

14. Indemnification

You agree to indemnify and hold harmless WLA and its directors, officers, employees, representatives, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.

15. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information. By using the Site, you consent to those practices.

16. Regulatory note

WLA and its representatives are subject to the licensing and regulatory requirements applicable to financial services in the provinces in which they operate. The services described on the Site are provided only where WLA and the relevant representative are duly licensed or authorized, and the descriptions on the Site are summaries provided for general information rather than complete statements of the products or services or their terms.

17. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above, and the revised Terms will take effect when they are posted on the Site. Your continued use of the Site after the revised Terms are posted constitutes your acceptance of them. We encourage you to review these Terms periodically.

18. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have breached these Terms or for any other reason at our discretion. The provisions of these Terms that by their nature should survive termination, including Sections 4, 6, 7, 12, 13, 14, and 19, will continue to apply.

19. Governing law and general terms

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict of laws principles. You agree that the courts of the Province of Ontario have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Site, and you submit to the jurisdiction of those courts.

If any provision of these Terms is found to be unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and WLA regarding your use of the Site. You may not assign these Terms without our consent; we may assign them in connection with a business transaction.
